This agreement contains the complete terms and conditions that apply to an individual's or entity's participation in the International Gift Delivery affiliate Program. As used in this Agreement, "we" means Giftsnideas.com, and "you" means the applicant. "Site" means a World Wide Web site and, depending on the context, refers either to Giftsnideas.com?s site located at the URL www.Giftsnideas.com, or to the site that you will link to our site (and which you will identify in your Program application).

Enrollment in the International Gift Delivery affiliate Program

To begin the enrollment process, you will submit a complete Program application via Affiliate Shop. We will evaluate your application in good faith and will notify you of your acceptance or rejection. We may reject your application if we determine (at our sole discretion) that your site is unsuitable for the Program. Unsuitable sites include, but shall not be limited to, those that:

• Promote violence
• Promote pornography and sexual content
• Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
• Promote illegal activities
• Attempt to copy and/or assume the creative or business identity of Giftsnideas.com in any manner
• Otherwise violate intellectual property rights
• Utilize parasite software
• Spam

If we reject your application, you are welcome to reapply to the Program at any time. You should also note that if we accept your application and your site is thereafter determined (at our sole discretion) to be unsuitable for the Program, we may terminate this Agreement at any time.

You will be notified when your site has been accepted in our affiliate program, you will then be given access to a variety of banners and links that you need to place on your site to send traffic to Giftsnideas.com.

We will continuously make new links and banners available; it is your duty to update your banners to target a specific occasion, category or product o Giftsnideas.com. The links that we provide will have a specific code in them that will track your hits and sales and also allow us to formulate a progress report for you to view as well as pay your commission. We will not be responsible for the commission that has not been tracked due to the failure of you using the coded links provided.

Affiliates can feel free to create better images and banners to use for their sites as long as the link complies with our Agreement. Links connecting your site in no way should alter the look and feel of functionality of Giftsnideas.com.

Giftsnideas.com reserves the right to reject orders that do not comply with requirements that we have established. Your commission will be forfeited if the order is not executed, for reasons such as an invalid credit card number, incomplete details that make it unable to process the order etc. Giftsnideas.com will be responsible for all aspects of order processing, including the payment processing, cancellation, refunds and customer service.

You will be able to track sales through an independent third party tracking and reporting website, Affiliate Shop. You will have a password protected account for that site where you will be able to see statistics of your referrals to Giftsnideas.com and commissions earned.

The purchase price of Site products will count toward the total sales during the calendar month in which such Site's products are sold. Only products that are sold by us (to users of your site linked to our Site), shipped to a customer, and for which we have received full payment will qualify for a commission.

Commission rate would be fifteen percent (15%) of Net Sales depending on the amount of sales generated by Affiliate. Commissions are up to the sole discretion of the Company and are eligible for change at any time. For purposes of this Agreement, "Net Sales" shall mean amounts collected by us from customers purchasing products directly through your Affiliate Links, excluding all sales taxes, duties, shipping & handling (if applicable), and similar charges, amounts due to credit card fraud and bad debt, orders international delivery or similar services, order replacements and credits for returned goods.

10th of every month for all the sales generated during the previous month, by wire transaction or pay pal transaction

A user purchasing a product through the affiliate program shall be deemed to be a customer of Giftsnideas.com. All the customers product related questions, requests or queries should be referred to us.

If you PPC our registered trademarks the word "Giftsnideas.com" or our logo it would lead to a warning and after that the immediate termination of your account, if you fail to stop the ad campaign.

Please note that if your email address is invalid it will automatically lead to the termination of your account as well.

Any use of Spam or Parasite marketing techniques as well shall lead to the immediate termination of your account. Spam is defined as mailing anyone about Giftsnideas.com in bulk or by single mailing, who has not specifically requested the information directly from you.

We shall notify you by email about the termination of our affiliation. We will pay you all commission due by the 20th of the following month once your account is terminated.

If you choose to terminate this agreement, with or without cause you can do so at any time, contact the relationship management team for any problems.

Your Website:

You are solely responsible for the technical operation of your website and all related equipment; the cost and expense related to operating your site; creating and posting product descriptions on your website and linking those descriptions to our site; the accuracy and appropriateness of materials posted on your website; for ensuring that materials posted on your website do not violate or infringe upon the rights of any third party including, copyrights, trademarks, privacy or other personal or proprietary rights and for ensuring that materials posted on your website are not libelous or otherwise illegal. You agree that your website will not, in any way, copy or resemble the look and feel of our website nor will you create the impression that your website is our website or is a part of our website. You also agree that your website will not contain any content of our website or any materials which are proprietary to Giftsnideas.com, except with our prior permission; or materials obtained by you via the Giftsnideas.com Affiliate Information Center.

Giftsnideas.com may modify any of the terms and conditions contained in this Affiliate Program Agreement as needed at any time. It will be our sole discretion, and you agree that any such amendment will apply to you. We will contact you via email when changes are made in the Agreement and the new version will be posted on Giftsnideas.com. If any change is unacceptable to you, your only choice is to terminate your participation from our Affiliate Program. The continuation of your participation in this program or the acceptance of payments will constitute your binding acceptance of all modifications.
